Our client, an international Private Equity company, is currently looking to recruit a Legal assistant for their Luxembourg operations.
The purpose of the role is to support the Deputy Corporate Secretary in the legal activity of the European subsidiaries from Luxembourg.
THE ROLE
You will have the following responsibilities:
You will be part of a team of 15 high qualified Corporate Secretaries and get a relevant training to make you become as autonomous as possible.
Assist your team in ensuring the smooth execution of all deal closings and documentation.
Liaise with internal and external lawyers to obtain an exhaustive list of all legal documents required for closings.
Co-ordinate the receipt of all legal documents in a timely fashion to meet closing deadlines.
Collation of company documents/certificates for deal closings/CPs (condition precedents).
Assist the company secretary to prepare board papers and arrange board meetings to approve deal related documentation.
Circulate documents for signature and provide to relevant parties once executed.
Filing of deal related documentation.
Follow-up of outstanding post closing items.
THE PROFILE
Fluency in English.
Law degree or company secretarial qualification.
Minimum 2 years experience in Real estate / Fund industry or law firm with experience preparing board papers and arranging board meetings (co-coordinating deal closings would be an advantage).
Have a solid understanding of various fund structures.
Demonstrate a strong knowledge of compliance issues and practices in the real estate industry.
Organizational skills to ensure execution of and delivery of documents to relevant parties.
Assertive and has the initiative to work independently with minimal supervision.
