Our client, an international Private Equity company, is currently looking to recruit a Legal assistant for their Luxembourg operations. The purpose of the role is to support the Deputy Corporate Secretary in the legal activity of the European subsidiaries from Luxembourg.

THE ROLE

  • You will have the following responsibilities:
  • You will be part of a team of 15 high qualified Corporate Secretaries and get a relevant training to make you become as autonomous as possible.
  • Assist your team in ensuring the smooth execution of all deal closings and documentation.
  • Liaise with internal and external lawyers to obtain an exhaustive list of all legal documents required for closings.
  • Co-ordinate the receipt of all legal documents in a timely fashion to meet closing deadlines.
  • Collation of company documents/certificates for deal closings/CPs (condition precedents).
  • Assist the company secretary to prepare board papers and arrange board meetings to approve deal related documentation.
  • Circulate documents for signature and provide to relevant parties once executed.
  • Filing of deal related documentation.
  • Follow-up of outstanding post closing items.

THE PROFILE

  • Fluency in English.
  • Law degree or company secretarial qualification.
  • Minimum 2 years experience in Real estate / Fund industry or law firm with experience preparing board papers and arranging board meetings (co-coordinating deal closings would be an advantage).
  • Have a solid understanding of various fund structures.
  • Demonstrate a strong knowledge of compliance issues and practices in the real estate industry.
  • Organizational skills to ensure execution of and delivery of documents to relevant parties.
  • Assertive and has the initiative to work independently with minimal supervision.
  • Enthusiastic and flexible.
